Vendor & Venue Agreement
Last updated: August 7, 2026
This agreement applies to every business that lists on EventCloud, in addition to the Terms of Service. Where the two conflict on a vendor-specific matter, this agreement governs.
1. You contract with the planner, not with us
EventCloud is a marketplace and toolset. Every booking is a direct contract between you and the planner. We are not a party to it, do not act as your agent, and are not responsible for performance, quality, timing, or the planner's payment behaviour beyond the payment tools we provide.
2. Eligibility and verification
You confirm that you operate a genuine business, that you hold every licence, permit, registration and insurance policy your work requires, and that all information you give us is accurate. We may request documents, verify them with issuers, re-check them periodically, and suspend a listing while a check is outstanding or after a document expires.
3. Your listing content
You own your photos, copy and portfolio. You grant EventCloud a worldwide, non-exclusive, royalty-free licence to host, display, resize and promote that content in the marketplace and in marketing for the marketplace, which survives only for as long as you keep the content posted plus a reasonable archival period. You confirm you hold the rights to every image you upload, including any photographer's release and any permission needed for identifiable people.
4. Badges and ranking
- Verified means a licence or current insurance certificate is on file and unexpired, or that Top Vendor criteria are met.
- Top Vendor is recalculated automatically from reviews, ratings and first-response speed. It can be gained and lost.
- Ranking is influenced by relevance, response rate, completeness, reviews and paid placement. Paid placement is labelled. No badge is a guarantee of quality by EventCloud.
5. Subscriptions and fees
Basic listings are free. Featured and Premium subscriptions renew automatically each month at the price shown at signup until cancelled, and cancellation takes effect at the end of the paid period. A platform fee applies to payments processed through EventCloud and is displayed on each invoice before you send it. Fees are exclusive of tax unless stated. We may change pricing with 30 days' notice.
6. Payouts
Payments made through EventCloud are processed by our payment partner and paid to your connected payout account on that partner's schedule. You must complete identity and business verification with them. We may withhold or reverse a payout in the event of a chargeback, refund, suspected fraud, or an open dispute.
7. Off-platform circumvention
You may take a relationship off-platform, but you may not use EventCloud inquiries to solicit planners off-platform for the purpose of avoiding platform fees on a booking that originated here, nor may you scrape, export or resell planner contact details.
8. Cancellations and no-shows
Your own cancellation and refund terms attach to each booking and are what governs it. Repeated late cancellations, no-shows or refusal to honour agreed terms are grounds for removal from the marketplace.
9. Reviews
Only planners with a confirmed booking may review you. You may respond publicly once per review. You may not offer anything of value in exchange for a review, write reviews of yourself or competitors, or pressure a planner to remove one. We remove reviews that breach the Acceptable Use policy; we do not remove reviews for being unfavourable.
10. Insurance and indemnity
You must maintain adequate liability insurance for your work. You will indemnify EventCloud against claims, losses and costs arising from your services, your content, your breach of this agreement, or your failure to hold a required licence or permit.
11. Suspension and termination
You may close your listing at any time; obligations under confirmed bookings survive. We may suspend or terminate a listing for breach, fraud risk, expired credentials, repeated planner complaints, or legal requirement. We will give notice and a chance to fix the problem where it is safe and lawful to do so.
12. Disputes
Where a planner opens a dispute, you agree to respond within 5 business days and to provide the contract, correspondence and evidence we reasonably request. Our dispute decision governs only funds we hold; it does not decide your legal rights against the planner.
